BOS Announces $0.5 Million private placement
|RISHON LEZION, Israel, December 1, 2014 (BUSINESSWIRE) B.O.S. Better Online Solutions Ltd. (“BOS” or the “Company”) (NASDAQ:BOSC), a leading Israeli provider of RFID and Mobile solutions and global provider of supply chain solutions to enterprises, announced today that it entered into a definitive private placement agreement with Novel Infrastructure Ltd., a company owned a company owned by a Hong Kong investor. The agreement is for the issuance of an aggregate of 128,147 Ordinary Shares (equal to 7.2% of the outstanding shares of the Company following the investment) at a price per share of $3.902, or $ 500,000 in total.|
When issued, the Ordinary Shares will not be registered under the Securities Act of 1933 and may not be subsequently offered or sold by the investor without registration or an applicable exemption from the registration requirements of such Act.
