BOS BETTER ONLINE SOLUTIONS LTD. ANNOUNCES $2 MILLION

REGISTERED DIRECT OFFERING

RISHON LEZION, Israel, Dec. 30, 2020 (GLOBE NEWSWIRE) — BOS Better Online Solutions Ltd. (“BOS” or the “Company”) (NASDAQ: BOSC), announced today that it has entered into a definitive agreement with several institutional investors for the purchase and sale of 800,000 Ordinary Shares and 720,000 Warrants at a combined purchase price of $2.50 in a registered direct offering. The Warrants will have an exercise price of $2.75 per share, will be immediately exercisable and will expire in five years. The closing of the offering is expected to occur on or about January 4, 2020, subject to the satisfaction of customary closing conditions.

A.G.P./Alliance Global Partners is acting as sole financial advisor for the offering.

BOS’ Supply Chain Division Receives Orders Totaling $740,000

RISHON LEZION, Israel, July 2, 2020 – BOS Better Online Solutions Ltd. (“BOS” or the “Company”) (NASDAQ: BOSC), a global provider of intelligent systems and services for production and logistics, announced today that its Supply Chain Division has received orders totaling $740,000 for electronic components for delivery this year.

Hagit Eliyahu, VP sales of the Supply Chain Division, stated: “This is an addition to the $300,000 orders from the same customer, which we announced on June 25, 2020.

The orders from this customer, which exceed $1 million, demonstrate the strong added value of our supply chain services to manufacturers.”

BOS Announces a Strategic Agreement with RFKeeper

RISHON LEZION, Israel, March 26, 2019 (GLOBE NEWSWIRE) — B.O.S. Better Online Solutions Ltd. (“BOS” or the “Company”) (NASDAQ: BOSC), a leading Israeli integrator of RFID and Mobile solutions and a global provider of Supply Chain solutions to enterprises, announced today that its RFID and Mobile Division has signed a representative agreement with RFKeeper Ltd. (www.rfkeeper.com).

RFKeeper, an Israeli start-up company, is a provider of an RFID cloud-based platform for retailers. The RFKeeper platform, used by international customers, optimizes the supply chain operations, reduces inventory shrinkage and increases sales. B.O.S’ RFID and Mobile Division Received an Order for an RFID System from One of the Biggest Public Libraries in Israel

RISHON LEZION, Israel, January 9, 2017 (GLOBE NEWSWIRE) — B.O.S. Better Online Solutions Ltd. (“BOS” or the “Company”) (NASDAQ: BOSC), a leading Israeli provider of RFID and Mobile solutions and a global provider of Supply Chain solutions to enterprises, announced today that its RFID and Mobile Division won a bid for the integration and installation of an RFID system in one of the biggest public libraries in Israel. The order amounts to approximately $250,000 and the system will be installed in 2017.
Eran Harel, CTO of BOS’ Inventory Counting Activity, stated: “The system is comprised of automatic self-service stations, staff stations, security gates, and RFID tags that are affixed to the books. The system was developed by Bibliotheca. BOS will be responsible for the integration and installation of the system and the conversion of the existing barcode tags into RFID tags.”

BOS Announces Private Placement for approximately $560,000 from several Investors, including Management


RISHON LEZION, Israel, June 11, 2015 (BUSINESSWIRE) B.O.S. Better Online Solutions Ltd. (“BOS” or the “Company”) (NASDAQ:BOSC), a leading Israeli provider of RFID and Mobile solutions and global provider of supply chain solutions to enterprises, announced today that it entered into definitive private placement agreements for a total amount of approximately $560,000. The investors in the private placement include BOS’ CEO, President and CFO, YA Global Master SPV Ltd., certain BOS business partners and BOS employees. The agreements are for the issuance of an aggregate of 232,138 Ordinary Shares (equal to 11.23% of the outstanding shares of the Company following the investment) at a price per share of $2.406.

When issued, the Ordinary Shares will not be registered under the Securities Act of 1933 and may not be subsequently offered or sold by the investor without registration or an applicable exemption from the registration requirements of such Act.
